If I draw something and its exactly the same as the reference picture I'm using (which is a picture from someone else that's not me) does that still count for exhibition if I cite it in my process portfolio? Obviously, I don't mean that I'm just painting the pic and leaving it like that, but if the majority of the painting is referenced by a picture is it still usable?

It depends if in the style, if it’s cubist, surrealist, cartoon, impressionist... if you do so you will have to reference the picture and say it was part of your inspiration... Note you have to select artist you based/inspired your work on.
